TERMS OF USE NORTH SEA JAZZ MEMORY PLATFORM

1. DEFINITIONS
- 1.1. In these terms of use, the following terms have the meanings set out next to them:
- (a) “Platform”: the online memory platform where visitors of the North Sea Jazz event can share memories;
- (b) “User”: any person who visits or uses the Platform;
- (c) “Submission”: any form of content posted by a User on the Platform, including but not limited to photos, videos, texts, audio recordings and other memories;
- (d) “We/Us”: Mojo Concerts B.V., Chamber of Commerce number 27223030;
- (e) “Terms of Use”: these terms of use;
- (f) “Privacy Statement”: Mojo’s privacy statement as published at https://www.mojo.nl/privacy-statement.

2. APPLICABILITY
- 2.1. These Terms of Use apply to any use of the Platform and to all Submissions posted by Users.

3. THE PLATFORM
- 3.1. The Platform has been created to offer visitors of the North Sea Jazz event the opportunity to share their memories from the past 50 years.
- 3.2. We reserve the right to temporarily or permanently take the Platform out of service, or to change its functionality, without prior notice.

4. SUBMISSIONS
- 4.1. Conditions for Submissions:
- (a) The User is responsible for the Submission they post on the Platform.

(b) The User guarantees that the Submission:
- (i) does not infringe any third-party rights, including but not limited to copyrights, portrait rights, trademark rights or other intellectual property rights;
- (ii) does not violate applicable laws and regulations;
- (iii) does not contain defamatory, offensive, discriminatory, obscene, threatening or otherwise inappropriate content;
- (iv) does not contain viruses, malware or other harmful software; and
- (v) does not contain commercial messages, spam or unwanted advertising.
- (c) The User indemnifies Us against all third-party claims related to the User’s Submission, including but not limited to claims for infringement of intellectual property rights or other rights.
- 4.2. We reserve the right, without stating reasons, to:
- (a) not post a Submission on the Platform;
- (b) modify a Submission, including but not limited to adding or adjusting titles, adding tags, changing the presentation or editing the content;
- (c) approve or reject a Submission at Our own discretion;
- (d) remove an already posted Submission at any time; and
- (e) terminate or block a User’s access to the Platform at any time.

5. PERMISSION TO USE SUBMISSIONS
- 5.1. By posting a Submission on the Platform, the User grants Us a non-exclusive, worldwide, royalty-free, transferable and sublicensable licence to use the Submission:
- (a) to use, reproduce, edit, adapt, publish and distribute it on the Platform;
- (b) to use it elsewhere and in other media in relation to the Platform and the North Sea Jazz event, including but not limited to social media, promotional materials, publications, exhibitions and other communications; and
- (c) to make it public and available to the public.
- 5.2. This licence remains valid for as long as the Submission is available on the Platform and for a reasonable period thereafter, insofar as the Submission has already been used in other communications as referred to in clause 5.1(b).

6. PROCESSING OF PERSONAL DATA
- 6.1. For the processing of personal data, We refer to the Privacy Statement.
- 6.2. In addition to the Privacy Statement, the following applies:
- (a) The legal basis for the processing of personal data in connection with the use of the Platform is the User’s consent.
- (b) By posting a Submission and ticking the relevant checkbox, the User expressly consents to the processing of their personal data as described in the Privacy Statement.
- (c) The User has the right to withdraw their consent at any time. Withdrawal of consent does not affect the lawfulness of processing based on consent before its withdrawal.

7. INTELLECTUAL PROPERTY
- 7.1. All intellectual property rights relating to the Platform, including but not limited to copyrights, database rights, trademark rights and domain name rights, are vested in Us or Our licensors.
- 7.2. The User obtains only a limited, non-exclusive and non-transferable right to use the Platform in accordance with these Terms of Use.
- 7.3. The User is not permitted to copy, reproduce, edit or make public the Platform, or any part thereof, without Our prior written consent.

8. FINAL PROVISIONS
- 8.1. These Terms of Use and the use of the Platform are governed by Dutch law. Any disputes arising from or relating to these Terms of Use or the use of the Platform will be submitted to the competent court in the Netherlands.
- 8.2. We reserve the right to amend these Terms of Use. Amendments take effect at the moment they are published on the Platform, or at a later time indicated in the amendment.
